Abstract:
A number of nanotech companies have begun to consider making initial public offerings. The conditions for nanotech companies seeking to go public could be very different from the conditions faced by emerging start-ups in past technological waves such as the Internet and biotechnology. In light of the current market and regulatory climate, a detailed examination of the path to IPO would benefit all professionals involved in small scale technologies. In this article, securities lawyer Denis Rice walks emerging nanotech start-ups through the process of going public. The focus of this article is on the traditional IPO process. A detailed explanation of the “electronic IPO process,” including the auction method recently used by Google, will appear in a future issue.
