Abstract:
Since 1999, the Internet-based Dutch auction system has been an available option for companies seeking to establish an initial public offering. In this article, Denis T. Rice presents an overview of the auction system as well as a detailed look at new Securities Exchange Commission reforms that affect the public offering process. Several factors are presented which will assist emerging nanotechnology firms in deciding whether the auction system is right for their company. The author also discusses SEC rules and interpretations that are particularly applicable to Internet IPOs using the Dutch auction system.
